Terms of Sale

1. About these terms
These terms govern your use of this website and the quotation and enquiry process operated by Trade Entrust ("we", "us"). This is a business-to-business site for OEM / ODM and private-label sourcing enquiries; it is not a consumer store, and nothing on it is an offer to sell to consumers.
2. Quotations are not binding offers
Any prices, minimum order quantities, lead times, specifications and other figures shown on the site or provided in a quotation are indicative and for discussion only. They do not constitute a binding offer and are subject to confirmation and to the stock, materials and freight conditions at the time of order.
A binding contract is formed only when both parties agree an order in writing — for example a signed proforma invoice, purchase order or sales contract. A quotation is valid only for the period stated on it (or otherwise for a reasonable time) and may be revised or withdrawn before an order is confirmed.
3. MOQ, lead times & product specifications
No universal minimum order is set by this website. The applicable quantity and unit are confirmed for the selected model, specification, destination and production arrangement in the project quote.
Project timing depends on factors including specification approval, any agreed sample stage, materials, testing, quantity and production availability. Any date remains an estimate unless the signed order expressly states otherwise.
Product images and source-listed dimensions, weights, colours and materials support shortlisting. The specification agreed in the signed project documents takes precedence over the public catalog record.
4. Intellectual property & your logo
You keep ownership of the logos, trademarks, designs and artwork you supply to us. By supplying them you confirm you have the right to use them and to let us reproduce them, and you authorise us to use them solely to produce, package and label your order.
You are responsible for ensuring your branding does not infringe anyone else's rights. Content on this website — including text, images, layouts and base-model designs — belongs to us or our licensors and may not be copied or reused without permission. Ownership of any bespoke tooling or original (ODM) designs is dealt with in the individual order contract.
5. Orders, pricing & payment
The commercial terms of any purchase — final specification, price, currency, payment schedule, Incoterm and delivery — are set out in the signed order for that programme and take precedence over anything on this site. Typical arrangements (such as a deposit to begin production with the balance before shipment, by bank transfer) are confirmed per order. Shipping, inspection and claims are described in our Shipping & Returns policy.
6. Warranties & liability
Except as expressly agreed in a signed order, the site and its content are provided "as is" without warranties of any kind. To the fullest extent permitted by law, we are not liable for indirect, incidental or consequential loss arising from use of the site, and any liability in connection with an order is governed by, and limited under, the terms of that order.
7. Governing law & disputes
These terms and any order placed with us are governed by the laws of the jurisdiction in which Trade Entrust is registered, without regard to its conflict-of-laws rules. Any dispute arising from them that cannot be resolved amicably is subject to the exclusive jurisdiction of the competent courts of that jurisdiction, unless the signed order contract specifies arbitration or another forum.
8. Changes to these terms
We may update these terms from time to time; the current version is posted on this page. Questions about these terms can be sent to sales@privatelabeloutdoor.com.
